Andy Terner is a partner in O'Melveny's Newport Beach office and a member of the Mergers & Acquisitions Practice.  He represents a broad range of public and private clients in a variety of industries, including education, gaming, healthcare, retail and technology.  His practice is primarily focused on representing clients in fundamental transactions, including significant acquisitions, dispositions, and capital markets transactions.  He also frequently provides advice to his clients on corporate governance matters and securities law compliance.

Illustrative Professional Experience

Mergers and Acquisitions — Andy has participated in multiple buy- and sell-side representations in a variety of transaction structures, including tender offers, stock and asset purchases and sales, mergers, and spin-offs.

Securities — Andy represents issuers in public offerings and private placements, including PIPE transactions and venture capital financings.  His venture capital practice includes representation of Southern California-based venture capital firms in initial and follow on investments in multiple portfolio companies.
