By the start of the sound motion picture era, O'Melveny was known as “the law firm that Hollywood can talk to,” as our lawyers were representing talent, studios, independents, and networks in all aspects of the film and broadcasting industries.

Today, O’Melveny conducts a global entertainment, media, intellectual property, and convergence practice offering a sophisticated range of knowledge and experience that is unique and unparalleled in the industry. At the practice's core is the representation of clients in transactions involving the production, financing, and distribution of motion pictures and television programming aimed at audiences around the world.

O’Melveny’s Entertainment and Media clients include:
  • motion picture studios
  • television and film production companies
  • television networks

  • financial services firms and financial institutions
  • new investors / high net worth individuals
  • media conglomerates
  • new media companies

  • individual talent

Key Facts

O’Melveny has been a key industry player in the creation and evolution of complex media and entertainment transactions predicated on our in-depth industry knowledge, our extensive experience, and our rich tradition of approaching every deal with diligence, perspective and innovation. The Firm provides a comprehensive breadth of services to its clients. In addition to a thorough knowledge of all phases of deal making and contract negotiation, our entertainment and media attorneys regularly draw upon the Firm’s practitioners in corporate and banking law, international trade and finance, bankruptcy and creditors’ rights, labor and employment law, mergers and acquisitions, securities law, litigation, intellectual property, and tax on issues that are unique to the industry. These resources take us beyond the boundaries of a traditional entertainment practice to the representation of multinational banks, of clients buying or selling film, television, video game, social network, recorded music and media companies, and of clients providing or seeking debt and equity financing by traditional and innovative means. In addition, our practice includes extensive work in the areas of copyright, trademark, character, software, theme parks, brand identity building, and other licensing and merchandising and interactive multimedia—in short, virtually every facet of the complex, interdisciplinary and cross-cultural concerns that characterize modern entertainment and media law.

Our firm’s extensive experience with businesses in the new media, telecommunications and convergence sectors combined with our long-standing relationships and know-how in the entertainment, electronics, and financial services industries, can provide a critical link for companies that have already developed valuable content, applications and other products but need outside counselors and access to capital to expand their markets. With the increasing convergence of the computer hardware and software, telecommunications, consumer electronics, entertainment, and media industries, O’Melveny is in a unique position to offer high-quality legal services and advice from a global perspective that encompasses all of the principal industries and issues in the rapidly developing digital marketplace.

Practice Strengths

  • Transformative Transactions. Few law firms can match O’Melveny’s track record in high-profile entertainment and media transactions. For example, we represented long-standing clients Metro-Goldwyn-Mayer Studios Inc. and Lionsgate Films in their joint venture with Viacom Inc., and Paramount Pictures to create a next-generation premium television channel and video-on-demand service, and we represented MGM in the formation of United Artists and its US$500 million capital raise; Shine Group in its acquisitions of Reveille and Metronome Film & Television; Warner Bros. in its joint venture with CBS to create The CW network; Lionsgate Entertainment in its acquisition of TV Guide Network; and Bob and Harvey Weinstein in their exit from Disney/Miramax Films and the formation and financing of The Weinstein Company.
  • Structured Finance. Our experience in structured film-financing deals is unmatched. We represented Elliott Associates, L.P. in a sweeping US$1 billion deal to co-finance at least 75 percent of Universal Pictures’ release slate through 2011, with the financing underwritten by Elliott through a new partnership between the hedge fund and Relativity Media LLC.; Legendary Pictures Funding in its approximately US$1 billion recapitalization and expanded co-financing agreement with Warner Bros; Participant Media in its US$250 million leveraged joint venture with Imagenation Abu Dhabi; The Weinstein Company in its US$1.2 billion securitization to make and distribute films; Dark Castle Entertainment in its ground-breaking US$240 million structured financing; The Walt Disney Company in its multi-picture slate financing and creation of Magic Films II, LLC; and Sony Pictures Entertainment in its multiple slate co-financing deals with Relativity Media.
  • Digital Cinema. Our extensive financing experience coupled with an understanding of the complex relationships between distributors and theatrical exhibitors has resulted in a leading role in the rollout of digital and 3-D cinema both in the United States and abroad. Clients include Digital Cinema Implementation Partners in the United States and Canada, Cineworld in the United Kingdom, and GDC in Asia.
  • New Media. Our deep experience with new media rights, coupled with our presence in Silicon Valley and extensive background in the entertainment industry, allow us to help our clients create new business models while protecting their intellectual property in the face of constantly changing technology. For example, we represented Metro-Goldwyn-Mayer Studios in its licensing agreement with Microsoft Corporation, in which all of MGM’s recent theatrical releases and many classics from the vast MGM film library will be available through Microsoft’s Xbox LIVE service on a video-on-demand basis; we represented HIT Entertainment in the licensing of home entertainment distribution rights (including electronic sell-through rights) for a family entertainment library; and we assisted SanDisk Corporation in obtaining digital licenses to launch The Rolling Stones “Bigger Bang” CD and back music catalogue on a new Trusted Flash Memory card digital platform.
  • International Matters. Lawyers in our international offices are active participants in their local and burgeoning media and entertainment markets helping clients develop, finance, distribute, and license films and television programs both in and outside of Asia. For example, we assisted Napster Japan in signing up more than 260 companies to provide content for its online music download service; and we represented Softbank Corp. in a joint venture to launch MySpace Japan. In China, we pioneered local cinema joint ventures for one of the major studios, advised Gemstar-TV Guide International, Inc., in connection with its China licensing issues, and represented a major U.S. satellite TV network with its China market entry strategy. In London, we represented DIC Entertainment Holdings, Inc. in its £105 million placement and admission to the London Stock Exchange’s AIM market, and advised Ingenious Media Plc in the structuring and closing of Europe’s biggest fund to invest in unquoted media companies.
