Jonathan Feldman

Jonathan Feldman is a counsel in O'Melveny's Newport Beach office and a member of the Transactions Department.  Jonathan has represented clients in buy-side and sell-side mergers and acquisitions in both the private and public sectors. He has also assisted companies with securities law issues, including stock offerings, SEC reporting and disclosure requirements and corporate governance matters.

Illustrative Professional Experience

  • Represented a leading global provider of virtualization solutions, in its US$20 million PIPE investment in a provider of IT infrastructure software. 
  • Represented one of the nation's oldest and largest private equity investors in the Series B financing of a leading third-party provider of enterprise software support services.
  • Represented a fabless semiconductor company focusing on imaging, video, audio, and Internet connectivity applications, in its US$54 million sale of its Broadband Access product line to a leading provider of advanced broadband semiconductor and software products for the digital home; its US$20 million common stock offering; and its concurrent offering of US$175 million 11.25% senior secured notes due 2015, US$65 million common stock offering, and cash tender offer to purchase US$234.4 million if its outstanding 4% convertible subordinated notes due 2026.
  • Represented an asset management company in the US$100 million sale of one of its portfolio companies.
  • Represented a global company specializing in the design, development, manufacture, distribution and sale of computerized gaming machines and systems products in its purchase of substantially all the assets of a leading provider of server-based downloadable gaming systems. 
  • Represented Napster, Inc. in its sale to Best Buy Co., Inc.
  • Represented a leasing and banking corporation in its self tender offer resulting in the purchase of 1.4 million shares of its common stock for a total cost of US$16.9 million.
  • Represented a real estate investment trust that focuses on regional malls throughout the United States in its US$383 million common stock offering and subsequent US$1.2 billion common stock offering.
  • Represented an online media company in its acquisition of a company that brings the world of sports to social networking sites and mobile devices through innovative applications.
  • Represented an online media company in its acquisition of the Web’s leading online publishing platform.
