Pooja Sinha
Counsel
Pooja Sinha is a counsel in O’Melveny’s Singapore office and a member of the Corporate Finance and Capital Markets Practice and has experience of working on a wide range of debt and equity offerings across Southeast Asia and Europe including both Rule 144A and Regulation S offerings.
She has represented both underwriters and issuers on initial public offerings, rights issues, placements, cornerstone investments, offerings of Global Depository Receipts (GDRs) listed on the London and Luxembourg stock exchanges, offerings of convertible bonds tender offers and consent solicitation exercises for convertible bonds. She also has experience of advising depositary and trustee clients. She has worked on a wide range of restructuring transactions with a capital markets element in South and Southeast Asia with a particular focus on transactions governed by English law.
Pooja also assists with the coordination of the Firm’s India Practice. Prior to joining the Firm, Pooja practiced at other leading law firms in Singapore, London and New Delhi.

- Represented BofA Merrill Lynch, Goldman Sachs, ICICI Securities and JM Financial as Book Running Lead Managers in the US$1 billion Rule 144A and Regulation S further public offering by Power Finance Corporation Limited.
- Represented SBI Capital, Goldman Sachs, ICICI Securities, and J.P. Morgan as Book Running Lead Managers and India Infoline as syndicate member in the US$1.7 billion Rule 144A and Regulation S further public offering by Power Grid Corporation of India Limited.
- Represented SBI Capital, IDFC Capital and ICICI Securities as Book Running Lead Managers in the US$260 million Rule 144A and Regulation S further public offering by The Shipping Corporation of India Limited.
- Represented UBS, JM Financial, BofA Merrill Lynch, Goldman Sachs, Kotak and SBI Capital as Book Running Lead Managers, STCI- Standard Chartered Capital Markets as Co- Book Running Lead Manager and ICICI Securities as syndicate member in the first ever offering of US$530 million Indian depository receipts (listed on the Indian stock exchanges) representing the shares of Standard Chartered PLC.
- Represented syndicates comprising leading international and Indian investment banks in a number of proposed Rule 144A and Regulation S initial public offerings and qualified institutions placements of equity shares (to be listed on the Indian stock exchanges) by Indian corporates.
- Represented IDX-listed PT Bank Tabungan Negara (Persero) Tbk. (BTN) as international counsel in connection with its global offering of rights to purchase common shares and concurrent approximately US$154 million placement of shares under Regulation S to international investors. Credit Suisse, Goldman Sachs, Bahana Securities, Danareksa Sekuritas, and Mandiri Sekuritas acted as joint global bookrunners. BTN is one of Indonesia’s top four state-owned banks, and is the country’s largest housing lender and tenth largest commercial bank by asset size and deposit base. This transaction was Indonesia’s largest rights offering placement in 2012.
- Represented UBS, Credit Suisse, IDFC-SSKI and Morgan Stanley, as Joint Global Co-ordinators and Joint Bookrunners in the US$575 million Rule 144A and Regulation S qualified institutions placement of equity shares of Unitech Limited.
- Represented UBS, IDFC-SSKI Limited and Morgan Stanley as Joint Global Co-ordinators and Joint Bookrunners in the US$325 million Regulation S qualified institutions placement of equity shares of Unitech Limited.
- Represented Goldman Sachs, Morgan Stanley and CLSA as Joint Global Co-ordinators and Joint Bookrunners in the US$225 million Regulation S qualified institutions placement of equity shares of YES Bank Limited.
- Represented Morgan Stanley as Sole Global Co-ordinator and Sole Bookrunner in the US$ 96 million Regulation S qualified institutions placement of equity shares of Hindustan Construction Company Limited.
- Represented Goldman Sachs, J.P. Morgan and SBICAP (UK) as Global Co-ordinators, Lead Managers and Bookrunners in the US$335 million Regulation S offering of GDRs (listed on the Luxembourg Stock Exchange) by The Tata Power Company Limited.
- Represented The Bank of New York Mellon in its capacity as depositary bank on the establishment of a number of facilities for the issuance of Rule 144A and Regulation S GDRs by Indian companies.
- Represented Barclays Capital as Lead Manager in the US$60 million Regulation S offering of convertible bonds (listed on the Singapore Stock Exchange) by Aurobindo Pharma Limited.
- Represented Barclays Capital as Lead Manager in the Euro 42 million Regulation S offering of convertible bonds (listed on the Singapore Stock Exchange) by Cranes Software International Limited.
- Represented Standard Chartered Bank (left lead), ABN AMRO, Citigroup and Calyon in the exchange offer for the US$875 million 1% Convertible Alternative Reference Securities (CARSTM) issued by Tata Steel Limited (the largest ever exchange offer for convertible bonds in the Asia-Pacific region).
