O’Melveny has one of the strongest Indonesia teams in the market, with around 20 lawyers in our Singapore office dedicating substantial time to Indonesia related matters, in addition to our association with Tumbuan & Partners
* in Indonesia. Our practice is built around a number of highly experienced Indonesia practitioners and is unmatched in terms of our established capabilities, Indonesia language skills and in-depth understanding of Indonesian legal issues, commercial practices and cultural environment.
Our lawyers represent both Indonesian corporate groups on their cross-border activities, as well as international corporations, financial institutions, and investment funds investing and doing business in Indonesia. We provide a full service cross-border corporate practice for Indonesian corporate groups and have represented some of Indonesia’s largest companies on their finance and equity transactions within Indonesia, as well as their outbound acquisitions and investments and their international disputes. We also represent a wide range of international clients in their Indonesian activities, including advising international corporations on their inbound mergers and acquisitions and investments, banks on international financing transactions, underwriters on capital markets transactions, and fund managers on Indonesia focused funds. In addition, we are experienced in Indonesian litigation proceedings and — while we do not provide Indonesian litigation services ourselves — we have represented a wide range of international clients in support services for Indonesian litigation.

Banking and Finance
Our banking and finance practice is equally comfortable with lender-side and borrower-side transactions as well as ‘event-driven’ financing, such as acquisition finance and investment finance. We regularly advise clients on a range of different financing options, including high yield debt, export credit, securitizations, syndicated loans and project financing, as well as trade-driven financing such as receiveables, discounting facilities or letters of credit. The practice is headed by Bertie Mehigan, the managing partner of our Singapore office, who has over 20 years experience in Indonesian financing transactions, together with highly regarded finance counsel Timothy Tan from Singapore.
Our Indonesia team has worked on numerous capital markets transactions in Indonesia, including high yield bonds, initial public offerings, as well as convertible and exchangeable bonds. The practice is headed by US capital markets practitioners David Makarechian and Andrew Hutton, and English law capital markets practitioner Pooja Sinha. Our lawyer are able to advise on Rule 144A and Regulation S offerings under both US and English law. The practice is also familiar with Hong Kong and Singapore initial public offerings and listings as well as specialist capital markets transactions such as securitizations.
Dispute Resolution / Arbitration
Our Indonesian dispute resolution team has extensive experience representing both foreign and Indonesian clients in a wide range of Indonesia-related arbitration proceedings before the principal arbitration institutions active in Asia and also provides strategic advice to foreign clients involved in litigation proceedings within Indonesia. The practice is headed by partner Friven Yeoh together with counsel Ashley Bell. Indonesia coordinator Joel Hogarth also has significant practical experience of Indonesian court proceedings. The team is supported by our wider Asian dispute resolution team, which consists of lawyers qualified in Indonesia, England, New York, Hong Kong and Australia, who are familiar with the Indonesian litigation process.
Energy, Natural Resources and Infrastructure (ENRI)
O’Melveny lawyers have worked on a wide range of Indonesian ENRI transactions, with particular expertise in the mining, oil and gas, plantation and power sectors. The team is coordinated by senior Indonesian legal consultant Ratih (Ipop) Nawangsari, who has over 12 years Indonesian projects experience.
Our investment funds team focuses on the structuring and establishment of private equity and other alternative funds, and is widely recognized as one of the top practices in Asia. Working closely with the firm’s private equity deal lawyers, the team has a good understanding of the Indonesian deal structures that need to be taken into account when structuring funds. In addition, our team has pioneered the use of onshore private equity funds (Reksa Dana Penyertaan Terbatas) in both fund and deal structuring. The practice is headed by Dean Collins, a partner in our Singapore office.
Mergers and Acquisitions
We have a market-leading Indonesia M&A team headed by our Indonesia practice coordinator Joel Hogarth, Singapore-based partner David Makarechian and counsel Siew Kam Boon. Our team has advised on some of the most high-profile mergers and acquisitions transactions in Indonesia in recent years. We have advised on auctions and structured divestment programs including private negotiated transactions, as well as a variety of transactions involving Indonesian listed companies, including reverse takeovers, mandatory tender offers and protected minority investments.
Private Equity / Strategic Investments
Our team has represented major global private equity firms, sovereign wealth funds, Asian-based private equity firms, special situations groups and hedge fund investors on their Indonesian investments, as well as many of the well-known Indonesia focused funds. We are very familiar with the specific tax, regulatory and ownership restrictions that apply in the context of fund investments, and specialize in structuring efficient investments in light of these considerations. The practice is coordinated by Joel Hogarth with partner David Makarechian providing extensive US-based private equity and venture capital experience to the team. The team is supported by Singapore-based counsel Damien Coles (distressed and special situations investments), Timothy Tan (banking and finance) and Siew Kam Boon (corporate and M&A).
Restructuring / Distressed Investment
Our Indonesia team counts among its ranks some of the leading restructuring lawyers in Asia, who are experienced in working with clients in all aspects of restructuring matters - whether it be a company facing financial distress, significant creditors of a troubled company, or an investor looking for the opportunity to purchase a distressed business. The practice is headed by Singapore managing partner Bertie Mehigan together with counsel Damien Coles. Indonesia coordinator Joel Hogarth also has a significant amount of Indonesian restructuring and bankruptcy experience, including practice experience of Indonesian court proceedings.
