With the advent of direct listings and the rise of special purpose acquisition companies (SPACs), companies looking to go public are sidestepping the traditional initial public offering in favor of these new vehicles.

O’Melveny’s upcoming webinar “Going Public?: Deciding Whether an IPO, SPAC, or Direct Listing is Right for You” will explore the pros and cons of each type of transaction from a legal and business perspective.

Panelists

Amanda Bradley is Head of Legal at Shift (Nasdaq: SFT), an ecommerce platform for buying and selling used cars. Amanda recently helped guide Shift through its merger with Insurance Acquisition Corp., a publicly traded special purpose acquisition company, which resulted in a capital raise of more than $300 million for Shift, now a publicly traded company as a result of the merger.

Amanda Abrams is the chief operating officer of the sponsor group of FinTech Acquisition Corps I - IV, special purpose acquisition companies formed to acquire or merge with businesses in the financial technology industry.

Jeeho Lee is a partner in O’Melveny’s Capital Markets practice, representing US and foreign issuers and underwriters in a variety of public and private offerings, including initial public offerings and SPAC transactions. She also assists public companies with securities law compliance, disclosure issues, and corporate governance matters.

Noah Kornblith is a counsel in O’Melveny’s M&A practice, advising clients across a broad range of US and cross-border M&A transactions, including SPAC transactions, mergers, tender and exchange offers, as well as stock and asset acquisitions, and other strategic transactions.
