Scott Graziano is a counsel in O’Melveny’s New York and Newport Beach offices and a member of the Capital Markets Practice. He has experience representing clients in both the United States and internationally in corporate securities transactions, including primary and secondary equity, convertible notes, investment grade and high yield debt and hybrid securities offerings. Transaction structure experience includes registered, registered direct, 144A/Regulation S and concurrent registered and private placement. Scott has represented issuers and underwriters in more than 70 offerings, including IPOs, follow-on, secondary, debt and hybrid offerings, with net proceeds of more than US$10 billion. In addition, Scott provides ongoing counseling of clients regarding matters such as corporate governance, SEC disclosure and reporting compliance, and contract negotiation.
