Sung Pak
Partner
Sung Pak is a partner in O'Melveny's New York office and a member of the Firm's Transactions Department. His practice focuses on financings and other investment transactions, with emphasis on acquisition financings for private equity sponsors in leveraged buyouts and investments in distressed companies and distressed financial assets.
He represents a number of private equity sponsors and corporations in a variety of capital-raising transactions, including syndicated loan facilities, high yield bond issuances and mezzanine financings, and has significant experience in cross-border financing transactions.
Sung represents investors and issuers in connection with debt restructurings, distress-to-own debt investments and acquisitions of debt portfolios and other distressed financial assets. He also represents clients in a variety of other corporate transactions, including mergers and acquisitions and securities offerings, often with a cross-border component.
Illustrative Professional Experience
- Represented a consortium of private equity sponsors in connection with the bank financing for the leveraged buyout of a leading car rental company, at the time the third largest US LBO ever.
- Represented a major private equity sponsor in connection with the acquisition of a US$6 billion dollar debt portfolio at a discount from a leading commercial bank, utilizing a complex hybrid structure involving a total return swap and a CLO-type vehicle.
- Represented distressed debt investors in connection with distress-to-own debt investments in the hospitality industry and the commercial real estate industry.
