Suzzanne Uhland


Suzzanne Uhland is a partner in O’Melveny’s San Francisco and Newport Beach offices and Chair of the US Restructuring Practice. Suzzanne represents parties in Chapter 11 reorganizations and out of court restructurings and buyers and sellers in Bankruptcy Code Section 363(b) sales and other distress transactions. She also practices with the Firm’s Transactions attorneys, both in bankruptcy cases and in structuring transactions to avoid bankruptcy-related risks. Suzzanne has substantial experience in bankruptcy and insolvency-related litigation, frequently working with members of the Litigation Department. She also provides advice in bankruptcy compliance matters. Suzzanne has a significant range of experience in real estate, technology, energy, municipal and international financings and restructurings.

  • Licensors and licensees of intellectual property in connection with preserving or acquiring intellectual property rights in distressed situations
  • Real estate lenders, landlords, and owners, including the reorganization of one of the largest office complexes in Orange County

Recent matters include representation of:

  • Representing Suntech Power Holdings in its pending bankruptcy proceedings in the US and Cayman Islands
  • Represented the Ad Hoc Group of Second Lien Lenders (Cerberus and a leading financial institution) in the bankruptcy of AMF Bowling and its affiliates
  • Represented three of Gramercy Capital's distressed debt funds as leading creditors in the international reorganization of PT Berlian Laju Tanker, a shipping company based in Indonesia and Singapore
  • Represented Spyglass Entertainment in connection with Metro-Goldwyn-Mayer's prepackaged chapter 11 restructuring
  • Represented New Century Financial Corporation, one of the largest of subprime lenders to have filed chapter 11, in general bankruptcy, corporate and litigation matters as debtor in possession
  • Represented Saga Investments, LLC in its acquisition of the assets of deCODE genetics, Inc., the genetics research giant, through a section 363 sale in deCODE's chapter 11 case
  • Represented Printronix, an entity controlled by Vector Capital, in its acquisition of assets from TallyGenicom LP in TallyGenicom’s Chapter 11
  • Represented a leading computer accessory company in its out-of-court restructuring including amending and restating its first lien credit and exchanging its second lien indebtedness and senior subordinated notes for the company's equity
  • Represented Advanced Marketing Services, a major distributor of books to retailers, in its Chapter 11 case, including 363 sales of its two major business divisions
  • Represented Crow Winthrop Operating Partnership, owner of one of Orange County’s largest office complexes, in its Chapter 11 case
  • Represents Western Digital in its acquisition of substantially all of the assets of Read Rite Corporation and related proceedings pertaining to intellectual property license rights
  • Represented SeraCare Life Sciences, Inc., as special litigation and corporate counsel in its Chapter 11 case
  • Represents cable Internet company Excite/At Home in its Chapter 11 proceeding, and the At Home Liquidating Trust in the winddown of the estate
  • Represents private equity fund Harrington Partners in its bankruptcy acquisitions
  • Represented BNP Paribas as agent in the restructuring of US$80 million of senior and mezzanine financing of a private equity-owned company engaged in institutional furniture manufacturing
  • Represented technology company Roxio, Inc. in its acquisition of the Napster assets from Chapter 11
  • Represented Wherehouse Entertainment, Inc., one of the nation’s largest music retailers, in its Chapter 11 proceeding
  • Represented Bourns, Inc. as the purchaser of substantially all of the assets of Micro Electronics Modules, Inc.
  • Represented private equity fund Westar Capital in its acquisition of substantially all of the assets of LifeCare Solutions
  • Served as bankruptcy counsel to the Time Warner entities and other copyright holders in the Chapter 11 case of Scour, Inc.
  • Represented BNP Paribas as agent in the restructuring of US$60 million of senior financing of a privately owned skilled nursing home operator
  • Represented The Irvine Company as the largest landlord and member of Creditors’ Committee in the Edwards Theaters Chapter 11
  • Represented Stremicks Heritage Foods, LLC in realizing the maximum value from its investment with a subsidiary of Parmalat SpA
  • Represented Premier Laser Systems, Inc., a public medical device company, in its Chapter 11 case
  • Represented CIT Business Credit in the prepackaged Chapter 11 case – In re Cherokee Inc.
  • Represented Wells Fargo as the senior secured creditor in In re C&R Clothiers, Inc.
  • Represented CIT Business Credit in connection with its debtor-in-possession loans to Hexel, Inc., a California technology and manufacturing company
