“When you have the shareholders approve the deal so long ahead of the closing, and the closing date is uncertain based on an antitrust approval, it creates all kinds of issues in the deal,” he said. “The company is effectively locked up, fiduciary duties of directors have been discharged, but it puts the board in a tough situation.”
