O’Melveny Helps Graco Obtain Partial Merger Clearance, Global Competition Review Reports

The March 29, 2012, Global Competition Review (GCR) article, “FTC partially passes paint merger,” reports that the US Federal Trade Commission (FTC) has partially cleared the merger of industrial liquid finishing equipment manufacturers Illinois Tool Works (ITW) and Graco. According to the article, the FTC’s order allows O’Melveny client Graco to move ahead with the US$650 million deal, which it had challenged on competition grounds in December 2011, provided Graco sets aside a portion of the business until the FTC completes its review.

The GCR piece also notes that lawyers for Graco and ITW successfully argued for the case to be transferred to a court in Minnesota in in January, and that the FTC subsequently decided to withdraw its complaint and work towards a settlement agreement.
