O’Melveny’s Beddow Authors Deal Lawyers Article on Hart-Scott-Rodino Act’s Application to Officer & Director Compensation

November 12, 2013 O’Melveny & Myers partner David Beddow authored an article in the November-December 2013 issue of Deal Lawyers, titled “That Grant Could Cost More Than You Think: HSR Application to Officer & Director Compensation.”  In the article, Beddow points out that although many US public companies do not consider the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act) outside of its application to mergers and acquisitions, the Federal Trade Commission considers the HSR Act applicable to any acquisition of voting stock that exceeds the Act’s jurisdictional thresholds, including an acquisition by an individual.  Beddow’s piece provides a general discussion of the pre-closing filing and waiting period provisions of the HSR Act and their application to common types of acquisitions of voting stock by officers and directors of US public companies.
