O’Melveny’s Beddow Quoted in Law360 on Tips for Avoiding 2nd Request In Merger Review

October 31, 2013 O’Melveny & Myers partner David Beddow was quoted in an October 25, 2013, Law360 article titled “5 Tips For Avoiding A 2nd Request In Merger Review.” The piece outlines suggestions for firms hoping to avoid expensive second requests for information from antitrust agencies. In the article, Beddow is quoted regarding the recommendation that firms invest upfront in an in-depth document review and production process. "What a lot of clients don't do, what a lot of lawyers don't do … is to take the time to be well-prepared before you make your Hart-Scott-Rodino filings," he told the publication.

Beddow also discusses the importance of cooperating with agency staff and the value of bringing in key executives to answer questions about the transaction and the industry. “The early meetings should be with business people because the government wants to hear from business people, not outside lawyers, who obviously are being paid as advocates and don't know the facts about the industry nearly as well," he said in the article.
