O’Melveny’s Lipshitz, Schultz Co-Author Article on Social Media for The M&A Lawyer

January 29, 2014 The January 2014 issue of The M&A Lawyer includes the article “Social Media and M&A,” which was co-written by O’Melveny & Myers partners Doron Lipshitz and David Schultz with assistance from associate Roy Tannenbaum.  The piece illustrates how compliant use of social media in the context of mergers and acquisitions can serve public companies as well as participants in activist campaigns and change-of-control transactions by facilitating communication with stakeholders.

“The ability to reach a broad and/or more targeted audience in real time, as well as the means to react to a counterparty’s communications…is rapidly becoming an essential part of the communications toolkit,” the authors write.  They recommend that social media participants stay informed of developments in federal securities regulations applicable to these continually emerging forms of communication, so as to “remain compliant without sacrificing strategic and tactical business goals.”

Lipshitz, Schultz, and Tannenbaum are members of O’Melveny’s Mergers and Acquisitions Practice and reside in the Firm’s New York office.
