O’Melveny’s Representation of Special Committee for ChinaCo Take-Private Transaction Noted by International Financial Law Review

International Financial Law Review recently reported on the take-private buyout of dairy producer Feihe International, Inc., and noted O’Melveny & Myers’ representation of the special committee for the transaction.  The July 25, 2013, article focuses on the increased litigation risk that the China-based company considered while formulating the deal, due to its incorporation in Utah, an “uncommon jurisdiction for corporate registrations.”  The piece quotes O’Melveny partner Paul Scrivano regarding the agreement.  “We negotiated for and included procedural protections that we don’t think we’ve seen enough of in these deals,” he said in the article.

Scrivano is co-head of O’Melveny’s Mergers and Acquisitions Practice in the US, and resides in the Firm’s San Francisco, New York and Silicon Valley offices.
