O’Melveny’s Traeger, Kassinger Author Bloomberg Article on Crowdfunding

February 06, 2013

O’Melveny & Myers LLP partners Heather Traeger and Ted Kassinger and former associate Zachary Kaufman co-authored an article for the recent issue of Bloomberg BNA Securities Regulation & Law Report focusing on Title III of the JOBS Act, entitled “Capital Raising Online While Deterring Fraud and Unethical Non-Disclosure Act of 2012.” The article discusses the potential benefits of crowdfunding, which allows entrepreneurs to pitch company ideas to a larger group of potential investors without violating the Securities Act of 1933. The O'Melveny lawyers talk about recent legislative changes, including the JOBS Act, that paves the way for this type of nontraditional funding. The article goes on to detail the different types of crowdfunding, its relationship to state laws, and other ongoing related legislation.
