NEWPORT BEACH, CA ─ O’Melveny & Myers LLP represented Tween Brands, Inc., the largest premier tween specialty retailer in the world, in its approximately US$160 million merger transaction, announced today, with The Dress Barn, Inc. Tween Brands, Inc. operates over 900 Justice stores located throughout the United States and internationally.
Under the terms of the transaction, each share of Tween Brands, Inc. common stock will be exchanged for 0.47 shares of The Dress Barn, Inc. common stock. The combined company will operate 2,465 locations, generating approximately US$2.4 billion of pro forma net sales.
Upon completion of the merger, Tween Brands, Inc. will operate as a separate subsidiary of The Dress Barn, Inc. The transaction, which is subject to stockholder approval of Tween Brands, Inc. among other closing conditions, was unanimously approved by Tween Brand, Inc.’s and The Dress Barn, Inc.’s Board of Directors and is expected to close in the fourth quarter of 2009.
