SAN FRANCISCO, CA -- March 6, 2014 -- O’Melveny & Myers LLP partner Paul Scrivano has been honored with a California Lawyer Attorney of the Year (CLAY) Award for 2014 in the category of Transactional Law. He is the only lawyer recognized for superior work in Transactional Law. The CLAY Awards, conferred annually by the California Lawyer magazine, highlight lawyers for their extraordinary achievements in significant practice areas. Scrivano is featured in the March 2014 issue, along with the other CLAY award winners.
Scrivano is recognized for leading a groundbreaking cross-border acquisition for BGI-Shenzhen, which became the first Chinese company to successfully buy a US publicly listed company. The long-anticipated deal, which closed March 18, 2013, had enormous hurdles to overcome, including regulatory approval by both US and Chinese governing bodies, a topping bid, shareholder lawsuits, and skeptical public sentiment. Scrivano led a team spanning six offices and advised BGI-Shenzhen throughout the entire transaction, which began as a public auction for Complete Genomics. BGI-Shenzhen emerged as the winning bidder, and O’Melveny successfully negotiated for tough deal protection measures in favor of BGI-Shenzhen. Shortly after the transaction was announced, Illumina, Inc. announced a hostile bid to break up the BGI-Shenzhen/Complete Genomics transaction, and to acquire Complete Genomics. Scrivano was the architect of the strategy to defend against the Illumina bid and negative press Illumina was spreading about BGI-Shenzhen, and used a combination of corporate and antitrust defensive measures to ultimately defeat Illumina’s bid.
Along with Scrivano, the feature recognizes the work of Wendy Pan, a partner in O'Melveny's Shanghai office, and David Johnson, a partner in Hong Kong, for their efforts on regulatory approval in China, as well as Matthew Close, a partner in Los Angeles.
