Emiko Morisato (Ogino)

Counsel

Emiko Morisato is an experienced corporate transactional lawyer in O’Melveny’s Tokyo office. Emiko advises clients on transactional and general corporate matters, including corporate governance, cross border transactions, corporate reorganization, and dispute resolution. She has also spent time as in house counsel to financial institutions and manufacturing industries, deeply involved in their important business decisions from the planning stages. Through close communication with their management teams, she has a strong understanding of businesses and strategies of client companies. 

  • Providing advice to both US and Japanese companies in their important business decisions, including corporate reorganization and exit transactions
  • Corporate governance counseling to various forms of Japanese companies including Godo Kaisha (similar to US LLC), including preparation of investigation report, periodic filings and advising on compliance matters
  • Strategic transactions including mergers, acquisitions, and asset purchase transactions (both cross border and domestic) representing both US and Japanese companies
  • Counseling to management team of client companies in their key transactional projects, operational matters and dispute resolution matters 

Illustrative Transactions:

  • Participated in a special investigation into the management of shareholders' meetings at a major Japanese company, and published an investigation report on corporate governance issues
  • Advised both international and Japanese clients in their reorganization matters, including absorption-type company splits and dissolution / liquidation procedures under Japanese laws
  • Represented both international and Japanese clients in their key transactions, including US$15 billion acquisition of a Japanese public company, and acquisition of US$200 million in loan receivables
  • Worked with international investors in their finance transactions and real estate acquisitions of a large-scale commercial complex
  • Advised a major consumer finance company for strategy development in nation-wide mass consumer litigations in Japan
  • Represented international investors in its attempt to recover US$100 million in an investor fraud suit in Japan
  • Represented asylum applicants and criminal defendants in pro bono matters, including representation of Columbian and Pakistani asylum applicants in Japan
