- Advising public companies on SEC reporting and disclosure matters (including annual and quarterly reports, Forms 8-K, proxy statements, confidential treatment requests, responses to SEC comment letters and issues related to Regulation 13D-G, Section 16, and Rule 144) and compliance with NASDAQ and New York Stock Exchange requirements
- Ongoing counseling of clients on board and committee matters, insider trading restrictions, proxy contests and shareholder proposals, corporate governance (including the Sarbanes-Oxley Act and related rules and regulations) and general contract matters
- Numerous buy- and sell-side representations for both public companies and private equity sponsors in a variety of transaction structures, including tender offers, stock and asset purchases and sales, mergers, and going-private and management buyout transactions
- Representation of issuers and underwriters in initial and follow-on secondary offerings, issuer self-tender and exchange offers, private placements of equity and the issuance of preferred and debt securities
