Phillip D. Irwin’s work is primarily in the federal corporate tax area, with emphasis in the field of mergers and acquisitions. Clients represented in major transactions in the last several years include Apria Health Care; a spin-off/merger transaction involving a major United States financial institution; Dole (spin-off of Castle & Cooke real estate operations); a merger acquisition of a major international healthcare provider; Frezenius USA (spin-off/merger transaction involving W.R. Grace); a merger between two major communication companies; International Lease Finance Corp. (merger with American Insurance group); Lockheed Corporation (dual merger transaction involving Martin Marietta); Security Pacific (merger with a major financial institution).
