Overview
The month of October saw continued investment and activity in a variety of water-related projects. Primary market activity involved mergers and acquisitions, with a major acquisition by WaterBridge Resources LLC of Arkoma Water Resources financed by a large equity commitment from Five Point Capital LLC. The majority of deals involved China and the United States, with additional activity occurring in Canada and the Philippines.
Mergers & Acquisitions
Manila Water Philippine Ventures Inc. October 3, 2017 Manila Water Philippine Ventures Inc. agreed to acquire Manila Water International Solutions, Inc. from Manila Water Company, Inc. (PSE: MWC). Manila Water Philippine Ventures engages in wastewater processing and maintenance services. Manila Water Company holds the exclusive right to provide water and used water services to the eastern side of Metro Manila under which it provides water treatment, water distribution, sewerage and sanitation services to more than six million people, comprising a broad range of residential, commercial, and industrial customers. |
California American Water Company October 5, 2017 California American Water Company entered into a purchase agreement to acquire the operating assets of Hillview Water Company. Under the terms of the agreement, California American Water will also assume the provision of water service within the Hillview Water Company service area between Oakhurst and Raymond, California. California American Water Company, a subsidiary of American Water (NYSE: AWK), supplies drinking water and treats and releases wastewater to customers in Coronado, Larkfield, Monterey, Rosemead, Sacramento, and Ventura. |

Bentley Systems, Inc. October 9, 2017 Bentley Systems signed an agreement to acquire a water modeling software business from ACTION Modulers. Bentley Systems is an American-based software development company that develops, manufactures, licenses, sells, and supports computer software and services for the design, construction, and operation of infrastructure. Portugal-based ACTION Modulers is a consulting company, mainly focused on numerical modeling, development of technological solutions, and safety planning services. |
WaterBridge Resources, LLC October 10, 2017 WaterBridge Resources LLC acquired Arkoma Water Resources, LLC from USG Surface Facilities I, LLC for $300 million. The Acquisition was financed by a $300 million equity commitment from Five Point Capital Partners LLC and its affiliates, increasing Five Point’s aggregate equity commitments to WaterBridge to $500 million. Arkoma Water Resources operates about 110 miles of a produced water pipeline and 95 miles of gas lift pipeline infrastructure in addition to three water transfer facilities and five saltwater injection facilities. WaterBridge Resources is a midstream development company focused on developing, acquiring and operating large-scale water infrastructure for oil and gas producers, including water sourcing, gathering and distribution pipelines, treating, recycling, separation, and disposal infrastructure solutions. Five Point Capital Partners is a private equity firm focused on midstream energy infrastructure and energy sector investments across North America. |

Hubei Silver Dragon Water Affairs Co. Ltd. Hubei Silver Dragon Water Affairs Co. Ltd. October 19, 2017 Hubei Silver Dragon Water Affairs Co. Ltd. entered into an agreement to acquire a 70% stake in Huizhou City Huicheng District Maan Water Supply Co. Ltd. from an independent third party for $2.4 million. |
Groupe Deschênes Inc. October 26, 2017 Groupe Deschênes Inc. entered into an agreement to acquire Corix Water Products Inc. from Corix Infrastructure Inc. Groupe Deschênes Inc., through its subsidiaries, operates as a distributor-wholesaler of heating, ventilation, air conditioning, and refrigeration (HVAC & R) products and accessories. Corix Water Products provides water and wastewater products, from waterworks supplies, pipe, valve and fittings, drainage and stormwater products to irrigation equipment, engineered products and packaged systems. |

Two Rivers Water & Farming Company October 5, 2017 Two Rivers Water & Farming Company (OTCPK: TURV) entered into an equity purchase agreement with Spotfin Funding LLC, wherein Spotfin will offer shares of common stock worth $5,150,000. Two Rivers Water & Farming Company operates a water business model suitable for arid regions in the southwestern United States. Spotfin is an investment firm that provides growth capital to microcap companies. |
