Case Study: Underwriters of Thermo Fisher Scientific OfferingO’Melveny represented Goldman Sachs & Co. LLC, as representative of the underwriters, in a registered public offering by Thermo Fisher Scientific Inc. of approximately US$1.7 billion of its common stock. Read
CIT Bank, N.A.O’Melveny achieved a significant victory for the bank when a California district court granted its motion to dismiss with prejudice and in its entirety a putative, nationwide class action challenging lender-placed insurance practices with respect to real property securing mortgage loans. Fannie MaeO’Melveny persuaded the United States Court of Appeals for the Fifth Circuit to affirm a district court ruling that prevented a class action status lawsuit against our client Fannie Mae. Read

O’Melveny helped free Fidelity Management Trust Co. from a class action brought by investors who alleged that the company charged excessive fees and implemented an unduly conservative strategy in one of its flagship stable-value funds offered to 401(k) plans.Read
Leading Financial InstitutionWe represented a leading financial institution in an action brought by the City of Los Angeles alleging that fair lending violations at the time of origination resulted in a disproportionately high number of foreclosures in primarily African American and Latino neighborhoods, purportedly reducing the City’s property-tax revenues and increasing its municipal-services costs. LendingClubO’Melveny represented the underwriters, led by Morgan Stanley & Co. LLC in the US$1 billion initial public offering of LendingClub Corporation (LendingClub) on the New York Stock Exchange. Read
