O’Melveny Represents Leading Private Mid-to-High-End Healthcare Provider in China, Distinct Healthcare, in Hong Kong IPO

HONG KONG—February 6, 2026—O’Melveny represented Distinct Healthcare Holdings Limited (“Distinct Healthcare”, 2677.HK) in its initial public offering and listing on the Main Board of the Hong Kong Stock Exchange. The total offering size was approximately HK$285 million (approximately US$36 million). O’Melveny advised the company on Hong Kong and U.S. laws. Haitong International Capital Limited and SPDB International Capital Limited were the joint sponsors.
Distinct Healthcare is a private healthcare service provider in China, with a focus on the mid- to high-end market segment. The company currently operates 17 clinics and two hospitals in China, and has established additional clinics in Singapore and Malaysia.
This transaction is the first IPO of the year to utilize the red-chip variable interest entity (VIE) structure, underscoring O’Melveny’s ability to navigate complex Chinese regulatory requirements, and establishing a potential pathway for similar companies in restricted sectors to pursue overseas listings in compliance with new CSRC regulations.
This project further underscores the firm’s leading position in advising medical institutions in Hong Kong IPOs. O’Melveny has advised on three of the four Hong Kong IPOs by medical institutions in the past year—in addition to Distinct Healthcare, the firm advised on the listing of Bayzed Health Group and BenQ BM Holding, completed in June and December, 2025, respectively.
