O'Melveny Advises on US$4.5 Billion Equivalent in Credit Facilities for Digital Realty Trust

NEW YORK—September 30, 2024—O’Melveny represented Citibank, N.A. as administrative agent in connection with Digital Realty Trust’s US$4.2 billion global revolving credit facility and term loans and Sumitomo Mitsui Banking Corporation as administrative agent in connection with Digital Realty Trust’s ¥42.5 billion Japanese yen-denominated credit facility. The combined facilities come to a total of approximately 4.5 billion US dollar equivalent. The financings mature in January 2029 and each has two six-month extension options, subject to certain conditions. Digital Realty has the ability to increase its global revolving credit facility by up to US$1.8 billion, including incremental term loan capacity. Digital Realty has the ability to increase its yen-denominated credit facility by up to ¥60 billion (approximately US$418 million), including incremental term loan capacity. The revolving credit facilities feature sustainability-linked pricing components whereby pricing is subject to adjustment based on annual performance targets.
