Cody Dreibelbis is counsel in O’Melveny’s Houston office. Cody focuses his practice on a range of financing transactions, including secured and unsecured financing and loan transactions, acquisition financing, and debt offerings in private and public markets. He represents public and private companies, private equity sponsors, and their portfolio companies, as well as financial institutions, private debt funds, and other lenders.

Reserve-Based Lending

  • A private equity-backed portfolio company in a syndicated reserve-based lending facility with commitments of approximately US$400 million secured by operated oil and gas properties in the Permian Basin and Delaware Basin.
  • A private equity-backed portfolio company in an acquisition financing of non-operated oil and gas properties in the Permian and Denver-Julesburg basins with commitments of approximately US$250 million.
  • A private equity-backed portfolio company in an acquisition financing of operated and non-operated oil and gas properties in the Bakken basin with commitments of approximately US$250 million.
  • A private equity-backed portfolio company in a refinancing of its reserve-based lending facility with commitments of approximately US$50 million secured by non-operated and operated oil and gas properties in the Permian Basin.

  • A private equity-backed portfolio company specializing in the blending of various lubricants in a revolving credit facility with commitments of approximately US$20 million. 
  • A private equity-back portfolio company in a first and second lien credit facility that consisted of an asset-based lending facility with commitments of approximately US$50 million and a term loan of approximately US$20 million.

Leveraged-Buyouts/Acquisition Financing

  • A private equity firm in its leveraged buyout of a company specializing in bulk storage and processing of chemicals consisting of a term loan of approximately US$140 million and a revolving credit facility with commitments of approximately US$15 million.
  • A private equity firm in its leveraged buyout of a company specializing in industrial manufacturing consisting of a term loan of approximately US$15 million and a revolving credit facility with commitments of approximately US$10 million.
  • A private equity-back portfolio company specializing in a cloud-based point-of-sale software for the restaurant industry in its leveraged buyout of a company consisting of a term loan of approximately US$220 million and a revolving credit facility with commitments of approximately US$20 million.
