Jane Wu advises US and foreign issuers and underwriters in a broad range of capital markets transactions, including initial public offerings, secondary offerings, debt offerings, PIPEs, and other complex capital-raising transactions. Jane also advises clients on securities law compliance, corporate governance, and other corporate matters. She leverages her experience as a former in-house lawyer to bring a practical, business-focused approach to helping clients navigate risk and devise effective solutions.
Prior to joining O’Melveny, Jane served as assistant general counsel (corporate and securities) of a US$8 billion market cap, NASDAQ-listed technology company. In-house, she was responsible for ’34 Act filings (including 10-Ks, 10-Qs, 8-Ks, and proxy statements), coordinating matters relating to the annual meeting of stockholders, assisting with Section 16 filings, and supporting M&A, corporate finance, corporate formation and reorganization, and commercial initiatives.
Prior to her time in-house, Jane was a partner in the Debt Finance Practice of an AmLaw 10 international firm. She advised public and private companies as well as private equity sponsors on acquisition financings, first- and second-lien and unitranche financings, dividend recapitalizations, and other corporate financing transactions.
