O’Melveny Counsel David J. Ribner Selected for 40 Under 40 List by Global Competition Review, Foreign Investment Control

WASHINGTON, DC—June 22, 2023—Global Competition Review (GCR), Foreign Investment Control has named O'Melveny counsel David J. Ribner to its 2023 “40 Under 40” list, which recognizes the world’s top foreign investment lawyers under age 40.

Based in O’Melveny’s Washington, DC office, Ribner is a key member of the firm’s National Security Group. He advises US and non-US clients on the regulations and processes administered by the Committee on Foreign Investment in the United States (CFIUS). Clients spanning the globe and myriad industries turn to Ribner when executing strategic cross-border M&A deals and navigating regulations covering international trade and foreign direct investment. Ribner’s practice also encompasses economic sanctions, export controls, customs laws, and antiboycott regulations, as well as the Foreign Corrupt Practices Act (FCPA).

Ribner was recognized for his recent CFIUS work, which includes:

• securing CFIUS clearance on behalf of Hyundai Motor Group in connection with its acquisition of a controlling interest in Boston Dynamics from SoftBank;
• representing Japanese conglomerate Mitsui & Co. in many of its recent cross-border acquisitions and investments;
• securing CFIUS clearance on behalf of IBM in its sale of select software products to HCL Technologies, an Indian company.

Ribner told GCR: “There are some challenges in navigating foreign investment reviews in the United States, including a lack of certainty in the regulatory framework regarding which transactions are subject to the jurisdiction of the Committee on Foreign Investment in the United States (CFIUS), the large degree of discretion the committee has for making national security risk determinations and the fact that presidential actions to suspend or prohibit transactions are not subject to judicial review.”
