O’Melveny Represents Healthcare Trust of America in US$900M Public Offering

SAN FRANCISCO—September 20, 2019—O’Melveny recently represented Healthcare Trust of America, Inc. (HTA) in an underwritten public offering of US$900 million, consisting of US$650 million of unsecured 3.100% senior notes due 2030, and US$250 million of unsecured 3.500% senior notes due 2026.
HTA intends to use the net proceeds from the offering to, among other things, redeem all of its outstanding 3.375% senior notes due 2021 and 2.95% senior notes due 2022.
BofA Securities, Inc., J.P. Morgan Securities LLC, U.S. Bancorp Investments, Inc. and Wells Fargo Securities, LLC acted as the joint book-running managers for the offering.
Based in Scottsdale, Arizona, HTA is the largest dedicated owner and operator of medical office buildings in the United States, with US$6.9 billion invested primarily in medical office buildings.
