O’Melveny Represents Buyer Group Led by Yunfeng Capital, TF Capital and Tony (Bizuo) Liu in a Going Private Transaction of Cellular Biomedicine Group

O’Melveny represents a buyer consortium led by Yunfeng Capital, TF Capital and Tony (Bizuo) Liu (“Buyer Group”) in a going private transaction involving Cellular Biomedicine Group, Inc. (Nasdaq: CBMG). CBMG develops proprietary cell therapies for the treatment of cancer and degenerative diseases.
The Buyer Group consists of 16 members, including, among others, Tony (Bizuo) Liu, the CEO of CBMG, certain other members of CBMG management, Yunfeng Capital, TF Capital and other well-known private equity funds.
Pursuant to a merger agreement dated August 11, 2020, the Buyer Group will acquire all of the outstanding shares of the Company not owned by them at a merger consideration equal to US$19.75 per share, representing aggregate equity value of approximately US$380million.
