Federal Bar Association: Negotiating Loan Documents When Your Client Is the Borrower

O’Melveny partners Jennifer Taylor and Brian Stern along with counsel Cody Dreibelbis are set to join a panel hosted by the Federal Bar Association and MyLawCLE, discussing the negotiation of loan commitments and closing conditions for borrowers. “This session examines the critical period between the initial financing proposal and closing. Prior to execution of the commitment letter, borrower counsel has its best opportunity to influence transaction terms and reduce execution risk. Attendees will learn practical strategies for negotiating commitment papers, closing and funding conditions, representations and warranties, and other key provisions before definitive loan documents are finalized.”

Jennifer Taylor is Chair of O’Melveny’s Corporate Finance Practice and a member of the Restructuring Practice. She is also a member of O’Melveny’s Special Situations and Liability Management Group as well as the firm’s Crypto & Blockchain and Emerging Technologies industry groups. Brian Stern’s Corporate Finance and Private Credit centered practice focuses on representing borrowers (including portfolio companies), issuers, agents, and lenders in structuring and documenting secured and unsecured financing transactions, including direct lending, cash flow, asset based, mezzanine, bridge, bankruptcy (including DIP and exit facilities), and subscription line financing transactions. Cody Dreibelbis is based in O’Melveny’s Houston office and is experienced in a range of financing transactions, including secured and unsecured financing and loan transactions, acquisition financing, and debt offerings in private and public markets.
