Drawing on decades of experience in private practice and in senior government positions, our award-winning lawyers are adept at guiding clients through the national security reviews of transactions by the Committee on Foreign Investment in the United States (CFIUS), the Defense Counterintelligence and Security Agency, and other federal authorities. We pride ourselves on knowing a transaction as well as the client does and in conducting research as thorough as any regulator.

We are frequently called upon as CFIUS counsel in complicated, high-profile matters that require seasoned judgment, not only in navigating a review, but also in managing public perceptions—in Congress, in the press, among critics—that can sometimes decide a transaction’s outcome.

Our team features lawyers whose experience includes high-level positions in the White House, Departments of Commerce and Homeland Security, and the National Security Council, among other agencies.

We conduct due diligence on potential transactions to assess national security risks and advise clients on CFIUS requirements and on the advantages and disadvantages of voluntary disclosure. Our team has secured clearance by CFIUS for dozens of transactions, and true to O’Melveny’s interdisciplinary approach, the CFIUS group is a critical member of any international transactions team.
